Terms of Service
The terms that govern quotations, orders, delivery and payment with Asaha Suppliers.
Terms of Service
These terms set out how ASAHA SUPPLIERS LIMITED quotes, supplies and invoices goods and services. Please read them before placing an order; our quotations and purchase orders are issued on this basis.
01Agreement
These terms govern the supply of goods and services by ASAHA SUPPLIERS LIMITED (PIN P052185403R) to a client. Placing an order, accepting a quotation or paying an invoice confirms acceptance of them. Where a signed contract or purchase order states different terms, that document takes precedence for that order.
02Quotations and orders
A quotation is an offer valid for the period stated on it, or for fourteen days from issue if no period is stated. Prices depend on the quantities, specification and delivery dates in the enquiry; a change to any of them may change the price. An order is accepted when we confirm it in writing or by email.
03Prices, taxes and payment
Prices are in Kenyan Shillings and, unless stated otherwise, include applicable taxes and duties at the rates in force when the invoice is issued. Payment terms are those shown on the quotation or invoice. Where a deposit is required, goods are released once it is received. Late payment may attract a charge and the suspension of further supply.
04Delivery and risk
Delivery dates are estimates given in good faith and are subject to supply, transport and access conditions. Risk passes to you on delivery at the agreed address, or on collection if you collect. Any delay must be notified to us in writing as soon as it is known so that the schedule can be revised.
05Inspection, returns and shortages
Please inspect goods on delivery and report shortages, damage or visible defects within forty-eight hours, with photographs where possible. Returns require our prior written authorisation. Goods made to your specification, ordered to a client design, or special-order items cannot be returned unless they are faulty.
06Quality and warranty
We source from established manufacturers and suppliers so that the quality and authenticity of what we deliver can be relied on. Manufacturer warranties, where they exist, apply to the product and are passed to you. We do not give a warranty beyond what the manufacturer offers unless a written contract says otherwise.
07Tenders and client obligations
Where we price against a tender, bill of quantities or client drawing, you remain responsible for the accuracy of those documents. Information you provide must be complete and correct; we are not responsible for losses arising from inaccurate requirements, drawings or specifications supplied by you.
08Intellectual property and confidentiality
Brand artwork, designs and materials we produce for you become yours on full payment. We keep client briefs, pricing and commercial information confidential and do not disclose them except where necessary to fulfil an order or where the law requires it. We may not publish your name or logos without your written permission.
09Liability
Our liability for any claim arising from a supply is limited to the value of that supply. We are not liable for indirect or consequential losses, including loss of profit or production. Nothing in these terms limits liability that cannot be limited under Kenyan law.
10Governing law
These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute. Where a dispute arises, we ask that the parties first try to resolve it through direct discussion between directors.
